Special Meetings Minutes

Draft Minutes

Meeting called to order at 9:20 AM at the home of Rob Skoog in Alameda, New Mexico. It was noted that the requirements in the bylaws for noticing a General Meeting of the Association had been complied with. The meeting location needed to be changed the morning of the meeting from the office of David Bellows to the home of Rob Skoog, a few minutes away, due to problems at the office of David Bellows. David stayed to redirect attendees and put a message about the changed meeting location on his door when he left at 9:10 AM to join the meeting.

Suzanne Barry moved to approve agenda prepared by President Rob Skoog, seconded by Suzanne Smart. The motion passed unanimously.

Glenn Wilcox reported that the minutes of the last meeting of the Association’s Board of Directors on 05-07-09 had been approved by the board of directors at the end of that meeting.

Glenn Wilcox, Association co-secretary, reported that he spoke with Manning Hudson about the bylaws amendments made at the Association’s Annual meeting last year which Manning had recorded. Manning informed Glenn that he had worked with Christina Sasso-Rogers, who was the Association’s Secretary at the time, to incorporate those changes into the bylaws and had sent his work to her. Glenn contacted Christina who informed Glenn that she had not kept an electronic record of the amended bylaws but that there should be a paper copy in the box of Association documents that she passed on when she resigned.

Larry Horton, Association treasurer, reported that he had received a box of Association documents but had not yet reviewed it.

There were no other Officer’s Reports.

President Rob Skoog recommended Glenn Wilcox as Bylaws Committee Chair. John Ross moved to approve Glenn Wilcox as Bylaws Committee Chair, seconded by Larry Horton. The motion passed unanimously.

David Bellows moved to authorize Glenn to spend up to $500.00 to have a new website created and if it will cost more to bring the proposal back to the board of directors for consideration, seconded by Suzanne Smart. The motion passed unanimously.

Larry Horton moved to disable the current AOMANM website and URL and secure a new URL for the association and move appropriate website content to the new website, seconded John Ross. The motion passed unanimously.

John Ross moved to recognize and thank Michael Spottiswoode for his work managing the Association’s website by letter sent from President Rob Skoog including a gift certificate for $100 for the Artichoke Café in Albuquerque which will be procured by Larry Horton, seconded David Bellows. The motion passed unanimously.

There was a long discussion and revision of the bylaws.

Suzanne Barry moved to approve the bylaws as amended, seconded by Karla Koch. The motion passed unanimously.

There was a discussion about fund raising.

There was a discussion about where to hold the Annual Meeting which will occur on September 19, 2009 from 10:00 AM to 1:30 PM. John Ross will investigate possibilities in Santa Fe. Karla Koch will investigate possibilities in Albuquerque.

John moved to adjourn, seconded by Karla Koch. Motion passed unanimously.

Meeting adjourned at 12:11 PM.
